Latham & Watkins advises Morgan Stanley on CHC Helicopter Leveraged Buyout

London, 2008 September 19th… Latham & Watkins acted for Morgan Stanley as sole mandated lead arranger and underwriter of the US$1.25 billion senior secured facilities which were provided to First Reserve in connection with its acquisition of CHC Helicopter Corporation. The deal was completed this week.
CHC is the world's largest provider of helicopter services to the global offshore oil and gas industry, with aircraft operating in more than 30 countries worldwide. Its corporate headquarters are in Vancouver, Canada and the acquisition was structured as a Canadian Plan of Arrangement. However, the company has regional headquarters in Aberdeen, Scotland and the majority of its revenues are generated in Europe. Despite the challenging market conditions, the financing was successfully syndicated to banks and institutional investors and was significantly over-subscribed, making it one of the largest European LBO financings to be completed post credit-crunch.
The Latham team was led by London banking partners Dan Maze and James Chesterman, with associates Sophie Paquin and James Parkin. London corporate finance partner Brett Cassidy advised Morgan Stanley as dealer manager and solicitation agent in connection with a cash tender offer and consent solicitation made by CHC for its existing senior subordinated notes.
